Please read these Terms of Service (“Terms”) carefully before using Social Replies. By accessing or using our service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or otherwise using Social Replies (the “Service”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Service Description
Social Replies provides an AI-assisted platform that drafts responses to Instagram Direct Messages on behalf of authorised users. The Service connects to your Instagram Business account via Meta's official API, reads incoming messages, generates reply drafts using AI, and sends approved replies through your account. Features include a message approval queue, a voice-training system, and an analytics dashboard.
3. Eligibility
You must be at least 18 years old to use the Service. By using Social Replies, you represent that you meet this age requirement. The Service is intended for businesses, creators, and professionals managing Instagram Business accounts.
4. User Obligations
You agree to:
- Only connect Instagram accounts that you own or have explicit written authorisation to manage.
- Maintain the security of your Social Replies account credentials.
- Comply with Instagram's Community Guidelines and Meta's Platform Terms when using the Service.
- Review AI-drafted replies before enabling auto-reply mode to ensure they accurately represent your brand.
- Promptly notify us at legal@socialreplies.app of any unauthorised access to your account.
- Keep your account and billing information accurate and up to date.
5. Prohibited Uses
You must not use the Service to:
- Send spam, bulk unsolicited messages, or any communication that violates anti-spam laws.
- Harass, threaten, abuse, or intimidate any individual.
- Operate or manage fake, impersonated, or unauthorised Instagram accounts.
- Engage in any deceptive or misleading communication with end users.
- Violate any applicable local, national, or international law or regulation.
- Attempt to reverse-engineer, scrape, or extract data from our platform beyond normal use.
- Resell or sublicence access to the Service without our written consent.
- Use the Service in any way that could harm Social Replies, Meta, or third parties.
6. Meta Platform Compliance
Specifically:
- We access Instagram data only through Meta's official Messenger API for Instagram.
- We request only the permissions necessary to read and send messages on your behalf.
- We do not scrape Instagram or access data outside of official API endpoints.
- You remain the data controller for your Instagram account; we act solely as a data processor.
- You are responsible for ensuring your use of the Service complies with Meta's terms applicable to your account.
7. Intellectual Property
The Social Replies platform, including its software, design, and documentation, is owned by us and protected by applicable intellectual property laws. You may not copy, modify, or distribute our platform without written permission.
You retain all rights to the content of your Instagram messages. By using the Service, you grant us a limited, non-exclusive licence to process your message content solely for the purpose of generating reply drafts as described in our Privacy Policy.
8. Account Termination
By you: You may cancel your account at any time from your account settings or by contacting us at legal@socialreplies.app. Cancellation takes effect at the end of your current billing period.
By us: We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms, engage in prohibited conduct, or if we are required to do so by law or a Meta policy decision. We will endeavour to provide advance notice where reasonably practicable. Upon termination, your data will be handled as described in our Privacy Policy.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI-drafted replies will be accurate or appropriate for every situation. You are solely responsible for reviewing AI drafts before sending.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL REPLIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Social Replies and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including Meta's Platform Terms or Instagram Community Guidelines.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Jordan.
13. Changes to Terms
We may update these Terms at any time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your account.
